NON-DISCLOSURE AGREEMENT

1. Parties

This Non-Disclosure Agreement ("Agreement") is entered into on __________ between __________, of __________, and __________, of __________ (each a "Party").

2. Purpose

The Parties wish to explore the following purpose: a potential business relationship (the "Purpose"), and in connection with it may disclose confidential information.

3. Confidential Information

"Confidential Information" means non-public information disclosed by the Disclosing Party, in any form, that is marked or reasonably understood to be confidential, including business, technical, financial and customer information.

4. One-Way Confidentiality

The Receiving Party, __________, shall hold the Disclosing Party's Confidential Information in strict confidence and shall not disclose it to any third party or use it except for the Purpose.

5. Exclusions

Confidential Information does not include information that is or becomes public without breach, was already known to the Receiving Party, is independently developed, or is rightfully received from a third party without restriction.

6. Term

This Agreement begins on the effective date and the confidentiality obligations continue for 3 years from the date of disclosure, except for trade secrets, which remain protected as long as they qualify as trade secrets under law.

7. Return of Materials

Upon request, the Receiving Party shall promptly return or destroy all materials containing Confidential Information and certify such destruction in writing.

8. No License

Nothing in this Agreement grants any license or ownership right in the Confidential Information. All rights remain with the Disclosing Party.

9. Governing Law

This Agreement is governed by the laws of the State of Colorado. If any provision is unenforceable, the remainder remains in effect.

10. Entire Agreement

This Agreement is the entire agreement between the Parties regarding its subject matter and may be amended only in a writing signed by both Parties.
